NAME

The U&I that now includes many subsidiaries and affiliated companies operating in different businesses such as Investment, Realty, Audit, Construction, Transport, Forwarding, Handicraft Trading and Export Manufacturing is the name of a holding corporation in Binh duong Province, Viet Nam. U&I stands for You and I and was originally set up by Mr. Mai Huu Tin and Ms. Doan Ngoc To Uyen, Binh Duong citizens who believe that when working together Vietnamese people can also do business, and do it well.

STARTING POINT

Early 1998, Binh Duong started to be known as an attractive investment location in a stably developing Vietnam when other countries in the region were facing consequences of the 1997 financial crisis. More and more foreign investors came to Binh Duong. They needed information. They wanted to know how to select a place to set up their business, how to get license, how to import equipment and materials and how to export their products while they did not have qualified staff yet. U&I came into being to meet all these needs.

Thanks to the vast experience in the fields and the connections of its members, U&I attracted many regular clients right from its early days to survive and to prepare the groundwork for the strong development of the name U&I.

U&I INVESTMENT CORPORATION (UNIGROUP): HOLDING COMPANY

To celebrate the 5th anniversary of the name U&I and to streamline the management of its businesses, on April 15th 2003 U&I Ltd. was officially transformed to become a holding company in the name of U&I Investment Corporation (Unigroup) with a registered capital of VN$ 45 billion, asserting the growth and success of a group of Vietnamese owned and managed businesses.

The U&I now places its headquarters at the U&I Building, a nicely and fully equipped 3,000m² 6-story structure located in the heart of Thu Dau Mot town, Binh Duong province.

SUBSIDIARIES OF UNIGROUP

1. U&I Construction Ltd. (Unicons). Foundation: September 2000

During the past 6 years, correct judgment of construction demand and the ability to organize and implement projects successfully have enabled Unicons to grow quickly and continuously.  6 years is not so long but enough for the young labors of Unicons to prove that they can handle projects of international standards for clients from all the five continents, including those demanding ones from developed countries like England, US., France, etc. At present, Unicons is the biggest private construction company in Binh Duong.

2. U&I Auditing Ltd. (Uniaudit). Foundation: October 2001

The establishment of Uniaudit has partly met the need for auditing and accounting services of both domestic and foreign invested enterprises in the areas of Binh Duong and Ho Chi Minh city. In 2005, Uniaudit became an independent member of Baker Tilly International, the 8^th largest network of high quality, independent accountancy and business services firms in the world by fee income, headquartered in London, represented by 128 firms in 85 countries, with a global aggregate fee income of  $2.12 billion and 20,100 staff worldwide. In Vietnam, Uniaudit handles the biggest clientele among auditing companies without foreign or government capital.

3. U&I Realty Ltd. (Unireal). Foundation: September 2001

With its main functions of advising and introducing investors to suitable locations for their businesses, arranging land procedures, building factories and offices for rent, after over 5 years of operation, Unireal is now among the most efficient real estate firms in Binh Duong province. It’s managing hundreds of thousands of square meters of industrial land and buildings in strategic areas throughout Binh Duong province. Unireal also controls Dai Viet Ltd., Hung Loi Real Estate Ltd. and Vietland Ltd.

4. U&I Crafts Ltd. Foundation: January 2003

In September 2001, Woodswill Ltd., specializing in the manufacturing and trading of handicrafts, was established with the assistance of some Dutch technicians and businessmen. In January 2003, U&I decided to change the name of Woodswill to U&I Crafts Ltd. (Unicraft). With Chinese and Taiwanese experts, Unicraft trades actively in handicrafts and is a big supplier of ready-mixed glazes and glaze materials for the ceramic industry, especially to ceramic tile and pottery factories in the areas of Ho Chi Minh city, Binh Duong province, Dong Nai province and Vung Tau province...Unicrafts also manages the following subsidiaries:

Uniclub: On Christmas day 2003, U&I Club came into being, occupying part of the ground floor and the whole first floor of the U&I Building in a cozy and relaxing surrounding. The intention of U&I’s management behind this club is to create a more interesting working environment for its people where good foods, drinks, music and multimedia programs are provided at subsidized prices. The club, however, is also open to the public and has seen become a hot spot for both business people and fun-seeking youngsters in the peaceful town of Thu Dau Mot, Binh Duong. To celebrate the 2^nd anniversary of its foundation, on December 24, 2005, Uniclub officially offered to its patrons a traditional Vietnamese dish served in a new style: “Pho 24”, franchised by the Pho 24 system which has recently become well-known in Ho Chi Minh city.

5. U&I Transport and Forwarding Corporation (Unitrans). Foundation: March 2003.

Taking over the initial businesses of the former U&I Ltd. in the new name of U&I Transport & Forwarding Corporation (Unitrans)  U&I Management is determined to better serve its clients in transport and forwarding. Unitrans owns the biggest fleet of container trucks in Binhduong province. Unitrans has also leased 62,000 m² of land in South Tan Uyen industrial park to build a customs bonded warehouse in this fast growing region of Binh Duong.

6. Osco Vietnam Ltd. Foundation: January, 2004.

Set up by U&I and an American partner experienced and respected in the fashion shoe business, the 100,000 – m² factory with 2,000 employees of Osco is located in Phu An commune, Ben Cat district, Binh Duong province. Osco officially started its operations in November 2005 and aims at serving the higher end markets in Europe and the U.S.

7. U&I Steel Corporation (Unisteel). Foundation: May 2005

Located in Tan Phuoc Khanh townlet, Tan Uyen district, Binh Duong province, Unisteel possesses modern facilities and skilled technical staff to produce pre-fabricated steel structures, weld mesh and other steel products for the construction industry.

8. Tri Viet Media Corporation (TVM). Foundation: July 2005

TVM, a wholly Vietnamese - invested joint stock company, with its headquarters at U&I Building, 9 Ngo Gia Tu Street, Chanh Nghia Ward, Thu Dau Mot District, Binh Duong Province is one of the biggest private companies in the production and distribution of cultural products in Vietnam. TVM currently manages:

 “Dream Field studio” (DFS):  With its ground breaking ceremony held on October 29 2005 in Binh Duong New Township, DFS is the largest TV studio complex ever built in Vietnam, with four studios to produce television dramas and other entertainment programs and a media academy, spread over 10ha of land with an investment of US$20 million. DFS’s first phase will be completed in Q3 2006 and the rest in Q3 2009.

Tan Ky Ltd.: Specializing in the supply of audiovisual equipment and technical solutions to television stations, big shows, theatres, cinemas and hi-end home theaters Tan Ky is known to have taken charge of the laser performance in the opening and closing ceremonies of the 22^nd SEA games at My Dinh National Stadium and the technique design, supply and maintenance of high-end private entertainment rooms in Vietnam like those of Minh Long 1, British Grammar School, etc. Tan Ky is also the supplier of the entire lighting system to the new National Convention Centre in Hanoi which will be completed in time for the APEC conference in October 2006.

9. Viet Orchid Ltd. (Vietorchids). Foundation: October 2005

With its orchid gardens of many various species in the provinces of Lam Dong, Binh Duong and Long An, Vietorchids specializes in planting and supplying orchids and decorative plants appropriate to the weather regions of Vietnam. The professional technician team of Vietorchids trained domestically and overseas affords to meet all clients’ demands on orchids, as well as assisting the orchid¬_lovers with necessary knowledge, tools and equipments to build, maintain and develop the own specific orchid gardens.
